End User License Agreement

1. Scope

This End User License Agreement ("Agreement") governs the use of the OAPPS MCP Gateway software application ("the Application") operated by OAPPS LLC, a Wyoming limited liability company with principal office at 30 North Gould Street, Ste R, Sheridan, WY 82801 ("we", "us", "Operator"). The Application is provided solely for internal use by OAPPS LLC and authorized agents acting on its behalf. The Application is not available for public registration, distribution, licensing, sub-licensing, or resale.

By connecting a QuickBooks Online company to the Application, you confirm that you are an authorized administrator of that company and that you have authority to grant the Application access to it.

2. License grant

OAPPS LLC grants itself and its authorized agents a non-exclusive, non-transferable, revocable right to use the Application for lawful bookkeeping, accounting, and reporting purposes within the OAPPS LLC QuickBooks Online account.

Any use of the Application by entities other than OAPPS LLC and its authorized agents is strictly prohibited and not supported.

3. Acceptable use

You agree not to:

• Attempt to circumvent the authentication or authorization controls of the Application or of Intuit's platform;
• Use the Application to perform bulk extraction of customer, vendor, or employee personal data for any purpose other than the internal accounting workflows of OAPPS LLC;
• Distribute, sell, rent, lease, or sublicense the Application or access to it;
• Reverse-engineer the Application except to the extent permitted by applicable law.

4. Data ownership

All data accessed or created by the Application in the QuickBooks Online company remains the property of OAPPS LLC as the QuickBooks subscriber. The Application does not claim any ownership or license to that data beyond what is strictly necessary to perform the authorized operations.

5. Intuit Services

The Application operates by calling the QuickBooks Online API. Use of the Intuit services is additionally governed by the applicable Intuit agreements, including the Intuit Developer Terms. Nothing in this Agreement overrides those agreements in the event of a conflict.

6. Warranty disclaimer

The Application is provided "AS IS" and "AS AVAILABLE", without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted operation. OAPPS LLC does not warrant that the Application will be error-free or that any data produced by the Application will be accurate.

7. Limitation of liability

To the maximum extent permitted by law, OAPPS LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, resulting from use of the Application.

8. Termination

OAPPS LLC may terminate or suspend access to the Application at any time, without notice. You may stop using the Application at any time by disconnecting it from your QuickBooks Online company via Intuit's "Apps" settings, or by visiting /disconnect.

9. Changes

This Agreement may be updated from time to time. The effective date above will be updated accordingly. Continued use of the Application after a change constitutes acceptance of the updated Agreement.
